2. Scope of These Terms
2.1 These Terms & Conditions govern all services provided by CyberCraft to business clients (“Client”, “you”).
2.2 Our services are offered strictly on a business-to-business (B2B) basis.
2.3 By accepting a quotation, signing an agreement, or engaging our services, you agree to be bound by these Terms.
3. Services Overview
3.1 CyberCraft provides three categories of services:
- Instructional design and customised cybersecurity training modules
- Annual membership with compliance-ready certification
- Cybersecurity consultancy services
3.2 Specific details, deliverables, timelines, and pricing will be set out in a written quotation or agreement.
4. Instructional Design & Training Services
4.1 Training content is delivered on a modular and customised basis, adapted from CyberCraft’s core modules to suit the Client’s use cases and organisational needs.
4.2 All instructional design pricing is quoted in advance and agreed in writing before work begins.
4.3 Any change to agreed requirements, specifications, or scope will constitute a variation and may result in revised pricing.
5. Intellectual Property & Licensing
5.1 Unless otherwise agreed in writing, all intellectual property rights in CyberCraft materials remain the property of CyberCraft.
5.2 Upon full payment, the Client is granted a non-exclusive, non-transferable, perpetual licence to use the materials internally within the registered organisation that purchased them.
5.3 Materials may not be duplicated, sublicensed, shared externally, resold, or used for the benefit of third parties.
5.4 Use across subsidiaries, group companies, or affiliates is permitted only if expressly agreed at the outset.
5.5 Modification of materials is permitted only where agreed in writing in advance.
5.6 The Client must not:
- Use CyberCraft materials to train or fine-tune AI models
- Reverse engineer, extract, or repurpose content for competing products
6. SME Membership & Certification
6.1 CyberCraft offers an annual membership for SMEs, payable annually in advance and set to auto-renew unless cancelled prior to renewal.
6.2 Membership includes access to a pre-agreed set of training modules and CyberCraft-branded certification, unless otherwise agreed.
6.3 Certification confirms completion of training and is compliance-ready, not a guarantee of legal or regulatory compliance.
6.4 Certifications expire six (6) months after completion and require re-completion for renewal.
6.5 Memberships may be cancelled at any time, but no refunds are provided for unused, pre-paid periods.
7. Consultancy Services
7.1 CyberCraft provides cybersecurity consultancy tailored to regional and regulatory contexts.
7.2 Consultancy services are quoted case-by-case and billed per hour, unless otherwise agreed.
7.3 Consultancy advice is provided for informational and operational purposes only and does not constitute legal advice.
7.4 The Client remains responsible for obtaining independent legal or regulatory advice where required.
8. Pricing, Payment & Currency
8.1 All fees are agreed in advance via written quotation.
8.2 Payment is due within seven (7) calendar days of completion of the agreed services, unless stated otherwise.
8.3 Payments may be made by bank transfer or card in GBP or USD, as agreed prior to quotation.
8.4 CyberCraft reserves the right to suspend services where payment is overdue.
9. Changes, Variations & Scope Creep
9.1 Any changes to scope, content, delivery method, or timelines must be approved in writing.
9.2 CyberCraft is not obliged to commence additional work until revised pricing is accepted.
9.3 Failure to approve variations may result in delays or suspension of delivery.
10. Client Responsibilities
10.1 The Client is responsible for providing accurate, lawful, and complete information required for service delivery.
10.2 Where internal documents or policies are supplied, the Client confirms it has the authority to share them.
10.3 The Client remains responsible for implementing policies, controls, and security measures within its organisation.
11. Compliance Disclaimer
11.1 CyberCraft training and consultancy are designed to support organisations in becoming compliance-ready.
11.2 We do not guarantee compliance with any law, regulation, or certification framework.
11.3 Responsibility for compliance remains with the Client at all times.
12. Limitation of Liability
12.1 To the fullest extent permitted by law, CyberCraft excludes liability for:
- Regulatory fines or penalties
- Loss of profits, revenue, or business
- Business interruption
- Indirect or consequential losses
- Data breaches arising from the Client’s systems, actions, or omissions
12.2 CyberCraft’s total liability shall not exceed the total fees paid by the Client in the 12 months preceding the claim.
12.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
13. Force Majeure
13.1 CyberCraft shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, system outages, or governmental actions.
14. Confidentiality
14.1 Both parties agree to keep confidential any non-public information shared during the engagement.
14.2 This obligation survives termination of the agreement.
15. Termination
15.1 Either party may terminate for material breach where such breach is not remedied within a reasonable period.
15.2 Termination does not affect accrued payment obligations or IP protections.
16. Governing Law & Jurisdiction
16.1 These Terms are governed by the laws of England and Wales.
16.2 The courts of England and Wales shall have exclusive jurisdiction.
17. Updates to These Terms
17.1 CyberCraft may update these Terms from time to time.
17.2 Updated versions will apply to new engagements only, unless otherwise agreed.
